Welcome to Gather. These Terms of Service ("Terms") govern your access to and use of our community management platform. By using Gather, you agree to these Terms.

1. Acceptance of Terms

By creating an account or using Gather, you agree to be bound by these Terms, our Privacy Policy, and Community Guidelines. If you do not agree, do not use our services.

2. Eligibility

You must be at least 18 years old to use Gather. By using our services, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Account Registration

  • You must provide accurate and complete information when creating your account.
  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Content

4.1 Your Content

You retain ownership of content you post on Gather ("User Content"). By posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content to provide and improve our services.

4.2 Content Restrictions

You agree not to post content that:

  • Violates any laws or regulations
  • Infringes on intellectual property rights
  • Contains hate speech, harassment, or discrimination
  • Promotes violence or illegal activities
  • Contains adult content or sexual material
  • Spreads misinformation or spam
  • Impersonates others or misrepresents your affiliation

4.3 Content Moderation

We reserve the right to remove content that violates these Terms or our Community Guidelines. Group admins may also moderate content within their groups. We are not responsible for user-generated content.

5. Groups and Communities

  • Group creators and admins are responsible for managing their groups and enforcing group rules.
  • Groups must comply with these Terms and Community Guidelines.
  • We may remove groups that violate our policies or pose safety concerns.
  • You may be removed from groups by group admins at their discretion.

6. Points and Leaderboards

Points are awarded for activities within groups and displayed on leaderboards. Points have no monetary value and cannot be exchanged for goods or services. We reserve the right to adjust or reset points to prevent abuse or maintain system integrity.

7. Prohibited Activities

You agree not to:

  • Access or attempt to access accounts or data without authorization
  • Interfere with the operation of the platform
  • Reverse engineer, decompile, or disassemble any part of the service
  • Use automated tools (bots, scrapers)
  • Collect user information for unauthorized purposes
  • Create fake accounts or manipulate the points system
  • Transmit viruses, malware, or harmful code

8. Intellectual Property

Gather and its original content, features, and functionality are owned by us and protected by international copyright, trademark, and other intellectual property laws. You may not use our trademarks or branding without permission.

9. Third-Party Services

Our platform integrates with third-party services (Clerk for authentication, Convex for database). Your use of these services is subject to their respective terms and policies. We are not responsible for third-party services or content.

10. Disclaimers

Gather is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or secure.

11. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punative damages arising from your use of the service. Our total liability shall not exceed $100 or the amount you paid us in the past 12 months, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless Gather and its affiliates from any claims, damages, losses, or expenses arising from your use of the service, violation of these Terms, or infringement of any rights.

13. Termination

We may suspend or terminate your account at any time for any reason, including violation of these Terms. You may delete your account at any time through account settings. Upon termination, your right to use the service ceases immediately.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of significant changes via email or platform notification. Continued use after changes constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of New Zealand, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of New Zealand.

16. Dispute Resolution

For any disputes arising from these Terms or the service, you agree to first contact us to seek an informal resolution. If unresolved within 30 days, disputes shall be resolved through binding arbitration or small claims court.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
